Sell a business

Selling a business through us costs an £800 setup fee, then 1.2% of the sale price with a minimum agency fee of £3,000, all including any VAT. The setup fee is charged in addition to the agency fee and covers preparing the business for market: the particulars, the confidential marketing pack and the buyer vetting that protects your staff, your customers and your landlord from finding out before you want them to. The legal work is handled by Trent Law Solicitors on their own quote, 10% less for our clients.

The fee

The minimum governs below £250,000, because 1.2% of £250,000 is £3,000. On a £400,000 sale the agency fee is £4,800. Every figure is confirmed in writing before marketing begins.

02

Sold quietly, on purpose

A business sale advertised like a house sale damages the thing being sold. Staff leave, suppliers tighten terms and competitors talk to your customers. We market confidentially: the public particulars describe the business without naming it, enquirers sign a confidentiality undertaking and prove funding before they learn which business it is, and viewings happen outside trading hours or as customers. You decide who gets the name, every time.

03

What is being sold, exactly

Most sales we handle are of the business as a going concern: the goodwill, fixtures and fittings, stock at valuation, and the benefit of the lease, assigned to the buyer with the landlord's consent, or the freehold if you own it. Trent Law Solicitors deals with the assignment or the transfer as part of the legal work.

If what you are selling is the company itself, its shares, that is corporate work with its own due diligence and its own risks, and it belongs with Trent Law's business and commercial team rather than with an agency listing. We will tell you which sale you actually have at the appraisal, because sellers are often advised the wrong one and the tax consequences differ. Trent Law and your accountant can advise on which route serves you better; we will not guess at it in a brochure.

04

How a sale runs

Appraisal first, priced from your accounts and the market rather than hope. Then the pack: three years' figures presented properly, the lease terms, staff position and what a buyer takes on. Marketing to our register and the business transfer platforms follows, anonymised. Offers are qualified for funding, negotiated, and then progressed weekly through solicitors to completion, with the landlord's licence to assign chased as hard as the contract, because the landlord is usually the slowest party in the room.

Questions we are asked

What does it cost to sell my business? +

An £800 setup fee, then an agency fee of 1.2% of the sale price with a £3,000 minimum, all including any VAT. The setup fee is charged in addition to the agency fee. Trent Law Solicitors quotes separately for the legal work, 10% less for our clients.

Will my staff and customers find out it is for sale? +

Not from us. Marketing is anonymised, enquirers sign a confidentiality undertaking and show funding before the business is named, and viewings are arranged discreetly. You approve every release of the name.

I own the company. Is that the same thing? +

No. Selling the company's shares is corporate legal work with different due diligence and different tax treatment from selling the business and assets as a going concern. Trent Law Solicitors' business and commercial team handles share sales, and we will tell you honestly at the appraisal which kind of sale fits your situation.

My premises are leasehold. Can I still sell? +

Yes, most business sales include the assignment of the lease to the buyer with the landlord's consent. Trent Law handles the assignment, and we manage the landlord relationship through the sale, because obtaining that consent promptly is usually the difference between a quick completion and a slow one.
